You agree to immediately remove all links to our Website upon such request. The Millennium School is constantly changing and improving the Website. We may also need to alter or discontinue the Website, or any part of it, in order to make performance or security improvements, change functionality and features, comply with the law, or prevent illegal activities on or abuse of our systems, or for scheduled maintenance or upgrades, emergency repairs, or due to failure of telecommunications links and equipment that are beyond the control of The Millennium School. 12. Severance

If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms of this Agreement.

13. Governing law

This Agreement is governed by and shall be construed in accordance with the laws of India.
The Parties submit to the exclusive jurisdiction of the courts at New Delhi with respect to any claim, dispute, or matter arising out of or relating to this Agreement. Any dispute or differences shall be adjudicated through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
A Sole Arbitrator shall be appointed jointly by the Parties within 30 (thirty) days of either Party requesting the other to suggest or approve a Sole Arbitrator. If the Parties fail to agree on a Sole Arbitrator within the 30 (thirty) day period mentioned above, either Party may request the relevant court in accordance with the Arbitration and Conciliation Act, 1996 to appoint the arbitrator.
The seat and venue of arbitration shall be New Delhi.

14. Survival

The terms and conditions of these Terms of Service which by their nature are intended to survive termination or expiration of Services (including, but not limited to, indemnification, warranty disclaimer, dispute resolution, and limitation of liability) will survive any expiration or termination of these Terms of Service.

15. Limitation of liability

In no event will The Millennium School or its directors, members, employees, or agents be liable for any special, indirect, or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, whether in an action in contract, tort, or otherwise, arising out of or in any way connected with the use of or inability to use or view the Website, the Services, the content, or the materials contained in or accessed through the Services. This includes any damages caused by or resulting from reliance on any information obtained from The Millennium School’s Website or resulting from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission, or any termination, suspension, or failure of performance, whether or not resulting from acts of God, communication failures, theft, destruction, or unauthorized access to The Millennium School’s records, programs, or services.
